1. Scope and parties
These Terms of Service ("Terms") govern access to and use of Pension Lens, an online information service operated by IVDN GmbH, Einsiedlerstrasse 216, 8810 Horgen, Switzerland ("Provider", "we", "us").
They apply to every person and organisation that creates an account or uses the service ("Customer", "you"). Pension Lens is offered exclusively to businesses and professionals, not to consumers. If you use the service on behalf of a company, you confirm that you are authorised to accept these Terms for it.
Where you and we sign an order form or offer, it forms part of the contract together with these Terms. If they conflict, the order form prevails. Your own general terms and conditions do not apply, even if you refer to them.
2. The service
Pension Lens provides structured information on Swiss pension funds, in particular asset allocation, strategic targets, private markets exposure and open allocations, managers, funds and commitments, returns, funding ratios and other key figures, compiled from publicly available annual reports and similar publications.
The scope of access (for example the number of named users, the data covered and the term) is set out in your order form or, for evaluation access, determined by us.
3. Accounts and approval
- An account is required. You must provide accurate details, including your full name, work email and company.
- New accounts are reviewed. We may approve, refuse or later revoke access at our discretion, in particular where we cannot verify a professional use or where these Terms are breached.
- Accounts are personal. Logins may not be shared, and you are responsible for keeping your password secure and for all activity under your account. Tell us without delay if you suspect misuse.
4. Licence and permitted use
Subject to these Terms and to payment of any agreed fees, we grant you a non-exclusive, non-transferable, non-sublicensable right, limited to the agreed term, to access Pension Lens and to use the information for your own internal business purposes, such as fundraising preparation, market research and investor relations.
You may use individual figures and short excerpts in your own internal documents and in communication with individual investors, provided Pension Lens is named as the source.
5. Restrictions
Unless we have agreed otherwise in writing, you must not:
- sell, license, publish or otherwise make the service or substantial parts of its content available to third parties;
- copy, download or extract the database or substantial parts of it, whether manually or by automated means such as scraping, bots or scripts;
- use the content to build, train or improve a competing product, database or artificial intelligence model;
- share login credentials or allow persons outside the agreed users to access the service;
- circumvent security or access controls, or interfere with the operation of the service;
- use the service in breach of applicable law, including data protection and unfair competition law.
We may suspend access immediately if we reasonably suspect a breach of this section.
6. Data sources and accuracy
The information is compiled with care from publications of the pension funds themselves, in particular their annual reports for the stated financial year. It is extracted, categorised, converted and in part translated by us. Figures may be incomplete, outdated, simplified or affected by errors in extraction or in the source. Values that are uncertain, taken from prior years or from press sources are marked where we are aware of this.
We give no warranty that the information is complete, correct or current, or that it is suitable for any particular purpose. The original publication of the respective pension fund prevails. Please verify important information against the linked source before relying on it.
7. No investment advice
Pension Lens is an information service. Nothing in it constitutes investment advice, a recommendation, an offer or a solicitation to buy or sell any financial instrument, or a financial service within the meaning of the Swiss Financial Services Act (FinSA). We do not provide portfolio management, placement or brokerage services.
Information about pension funds and their investments does not indicate that a pension fund is willing to invest in any product. You remain solely responsible for your own decisions and for complying with the rules that apply to your fundraising and marketing activities, including any distribution and marketing restrictions.
8. Fees and payment
- Fees, the billing period and the number of users are set out in the order form or offer.
- Unless agreed otherwise, fees are invoiced annually in advance in Swiss francs and are payable within 30 days of the invoice date. Statutory VAT is added where applicable.
- If an invoice remains unpaid after a reminder, we may suspend access until payment is received.
- We may offer free evaluation access for a limited period. We may end evaluation access at any time.
9. Term and termination
- Paid subscriptions run for the term stated in the order form and renew automatically for successive periods of twelve months unless either party gives notice at least three months before the end of the current term.
- Accounts without a paid subscription may be closed by you at any time and by us with 30 days' notice.
- Either party may terminate for good cause with immediate effect, in particular in the event of a material breach of these Terms.
- When the contract ends, your right to use the service ends. Fees already paid are not refunded unless we terminate without good cause before the end of a paid term.
10. Intellectual property
The software, design, database, classifications, calculations, summaries and translations of Pension Lens are protected and remain the property of the Provider or its licensors. The underlying annual reports remain the property of their respective publishers. Except for the limited rights granted in section 4, no rights are transferred to you.
We may use feedback you give us about the service without restriction or compensation.
11. Availability and changes
We aim to keep Pension Lens available at all times but do not guarantee uninterrupted or error-free operation. Maintenance, updates and events outside our control may cause interruptions. We may develop and change the service, its content and its features. We will not reduce the core functionality of a paid subscription materially to your disadvantage during its term.
12. Confidentiality
Each party will keep confidential the non-public information it receives from the other in connection with the contract, including prices and commercial terms, and use it only for the purposes of the contract. This obligation continues for three years after the contract ends.
13. Liability
- We are liable without limitation for damage caused intentionally or through gross negligence, and for personal injury.
- To the extent permitted by law, any further liability is excluded, in particular for slight negligence, for indirect or consequential damage, lost profit, lost data, and for decisions taken on the basis of the information provided.
- Where liability cannot be excluded, it is limited to the fees you paid in the twelve months before the event giving rise to the claim.
- We are not liable for auxiliary persons or subcontractors to the extent permitted by law.
14. Data protection
We process personal data in accordance with our Privacy Policy. Pension Lens contains names of individuals in their professional function at pension funds, taken from public sources. You may use such information only in compliance with applicable data protection law and only for legitimate professional purposes.
15. Changes to these terms
We may amend these Terms. We will inform you of material changes by email or in the service at least 30 days before they take effect. If you do not object before the effective date, the amended Terms apply. If you object, either party may terminate the contract as of the effective date.
16. Governing law and jurisdiction
These Terms and the contract are governed by Swiss law, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Horgen, Switzerland. We may also bring proceedings at your registered office.
17. Final provisions
- Should any provision of these Terms be invalid, the remaining provisions remain in force. The invalid provision is replaced by a valid one that comes as close as possible to its economic purpose.
- You may not assign the contract without our written consent. We may assign it to an affiliated company or to a successor of the service.
- Notices may be given by email. Our contact address is onemoremeier@gmail.com.
